1. Overview of Services
Direct Shield is a licensed health insurance provider offering health, dental, vision, emergency care, auto, and life insurance plans directly to individuals, families, and businesses. We are not a reseller or broker—coverage is provided directly by Direct Shield. All insurance products are subject to the terms, conditions, exclusions, and limitations described in the applicable policy documents, which govern your coverage in the event of any conflict with these Terms.
2. Eligibility
To use our Website and services, you must be at least eighteen (18) years of age and have the legal capacity to enter into a binding agreement. By using our Website, you represent and warrant that you meet these eligibility requirements. If you are enrolling dependents or family members, you represent that you have the legal authority to do so on their behalf.
3. Account Registration and Accuracy of Information
Certain features of our Website or enrollment process may require you to provide personal information, including but not limited to your name, date of birth, address, contact information, and health-related details. You agree to provide accurate, current, and complete information and to update such information as needed. Providing false or misleading information may result in denial of coverage, cancellation of your policy, or termination of your account.
4. Insurance Policies and Coverage
All insurance coverage is governed by the specific policy documents issued to you upon enrollment. These Terms do not constitute an insurance policy, a guarantee of coverage, or a promise of benefits. Key points to understand include the following: coverage is subject to underwriting approval and applicable state regulations; policy terms, benefits, exclusions, deductibles, copays, and premiums are defined in your individual policy documents; Direct Shield reserves the right to modify plan offerings, pricing, and availability at any time, subject to applicable law; and you are responsible for reviewing your policy documents carefully and contacting us with any questions before and after enrollment.
5. Enrollment and Payment
By enrolling in a Direct Shield insurance plan, you agree to pay all applicable premiums and fees on time and in accordance with the payment schedule outlined during enrollment. Failure to make timely payments may result in a lapse or cancellation of your coverage. All payments are processed through secure third-party payment processors. Direct Shield does not store your full payment credentials on our servers. Refunds, if applicable, are handled in accordance with the terms of your specific policy and applicable state law.
6. Communications and Consent
By providing your contact information—including phone number and email address—you consent to receive communications from Direct Shield related to your insurance policy, enrollment, billing, claims, and customer service. These communications may be sent via email, phone call, text message (SMS/MMS), or postal mail. You may opt out of promotional or marketing communications at any time by following the unsubscribe instructions in any message or by contacting us directly. Opting out of marketing communications does not affect transactional or policy-related messages required for the administration of your coverage.

To the fullest extent permitted by applicable law, Direct Shield Insurance Company, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages—including but not limited to loss of profits, data, goodwill, or other intangible losses—arising out of or related to your use of, or inability to use, the Website or our services. Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you have paid to Direct Shield in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms is intended to limit liability that cannot be limited by law, including liability for fraud or personal injury caused by negligence.
12. Indemnification
You agree to indemnify, defend, and hold harmless Direct Shield and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Website, your violation of these Terms, your violation of any applicable law, or any information you submit or transmit through the Website.

We reserve the right to suspend or terminate your access to the Website or our services at any time, with or without cause, and with or without notice. Termination of Website access does not affect the terms of any active insurance policy, which remains governed by the applicable policy documents.
16. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the state in which Direct Shield Insurance Company is domiciled, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or your use of the Website shall first be addressed through good-faith negotiation. If the dispute cannot be resolved informally, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by applicable law. Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction.
17. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
18. Entire Agreement
These Terms, together with the Privacy Policy and any applicable insurance policy documents, constitute the entire agreement between you and Direct Shield regarding your use of the Website and supersede all prior or contemporaneous agreements, communications, or understandings, whether oral or written.
